We acquire, structure, and manage a portfolio of operating subsidiaries, each focused on a high-demand sector of the African economy — Natural Resources, Logistics and Supply Chain, Real Estate and Infrastructure, and Industrial Processing.

Structure, Ownership, and Operational Model

BV Holdings PLC is incorporated as a public limited company and holds controlling stakes in each of its operating subsidiaries. The parent company provides capital allocation, governance oversight, shared services, and strategic direction. Each subsidiary is responsible for its own operations, revenue generation, and reporting — with full accountability to the Holdings board.

This structure gives us the discipline of a holding company with the agility of focused operating businesses. We do not run a conglomerate where businesses are loosely connected. We run a portfolio where each business was selected because it fits, reinforces, or enables the others.

BV Holdings acquires and develops commercial and industrial real estate across strategic locations. This includes facilities that directly support our logistics and industrial subsidiaries, as well as income-generating commercial assets leased to third parties. Real estate functions as both operational infrastructure and a long-term store of value within the group.
How Value Is Created
Rental income, infrastructure leasing to group subsidiaries, and capital appreciation on strategically acquired development sites generate multi-stream returns.

Industrial Processing
Processing, Manufacturing & Value-Add
BV Holdings is developing light industrial processing capacity to convert raw material inputs — primarily from BV Minerals — into higher-value outputs for domestic and export markets. This sector represents a deliberate move up the value chain, capturing processing margin that has historically been exported out of Africa along with raw commodities.
How Value Is Created
Processing fees, finished product sales, and tolling arrangements generate value-add revenue. Integration with the minerals division creates a closed extraction-to-processing pipeline within the group.

It provides physical infrastructure to sister subsidiaries at structured internal rates, reducing group dependence on third-party facilities and anchoring the balance sheet with appreciating fixed assets.

Provides the physical foundations for group operations. Acts as internal landlord and facilities manager for BV Logistics and future BV Industrial Solutions facilities, while generating independent rental income from third-party tenants.

Industrial Processing

BV Industrial Solutions Ltd is the group’s planned industrial processing subsidiary. It will operate light manufacturing and processing facilities, converting raw material inputs from BV Minerals into higher-value outputs for domestic consumption and export. Equipment procurement is underway. The subsidiary is being established within infrastructure developed by BV Infrastructure & Estates Ltd, minimising initial capital outlay.

Role Within the Group
Completes the group’s extraction-to-processing value chain. Absorbs raw outputs from BV Minerals, operates within BV Infrastructure facilities, and moves finished goods through BV Logistics — creating a fully integrated internal supply chain.
