Services & Operations — BV Holdings PLC
Operations Overview

How BV Holdings PLC Delivers Services

BV Holdings PLC does not operate services directly from the parent level. Services are delivered through four operating subsidiaries, each with a defined mandate, dedicated management, and sector-specific operational capability. The parent company provides the governance framework, capital, and cross-subsidiary coordination that makes integrated delivery possible.

The result is a group that can manage a complete operational cycle — from raw resource extraction through logistics, storage, processing, and delivery — within a single corporate structure. No single subsidiary does this alone. Together, they do.

Every service we deliver is connected to at least one other service in the group. This is deliberate. Integration reduces cost, improves execution speed, and creates revenue loops that strengthen the group’s financial position with each transaction.

01

Subsidiary-Led Delivery

Each subsidiary is the operational unit for its sector. They carry licences, employ sector specialists, manage client relationships, and generate revenue independently — while the parent ensures coordination and governance.

02

Integrated Operations

Subsidiaries are structured to serve each other. BV Logistics handles freight for BV Minerals. BV Infrastructure provides facilities for BV Industrial Solutions. This cross-subsidiary integration is the engine of margin improvement across the group.

03

Efficiency Through Coordination

Group-level procurement, shared legal and compliance infrastructure, and consolidated back-office services reduce overhead per subsidiary. Each company operates lean because the group absorbs fixed-cost functions at scale.

04

Scalable Systems

Operations are built to scale — capacity can be added within each subsidiary without restructuring the group. New geographies, new client contracts, and new commodity types can be absorbed without starting from zero.

Natural Resources & Mineral Trade
Sourcing, Export & Commodity Operations
Delivered by BV Minerals Ltd — active operations across licenced extraction territories.

BV Holdings PLC delivers natural resource and mineral trade services through BV Minerals Ltd. This includes the full cycle of mineral sourcing, aggregation, compliance management, and commodity export. We hold extraction licences, manage active site operations, and maintain verified offtake relationships with regional and international buyers.

Our approach focuses on operational reliability and contract discipline. Buyers receive consistent commodity supply under formal offtake terms. Supplier networks are managed for quality and regulatory compliance. Export operations are executed through our integrated logistics infrastructure, reducing dependency on third-party handlers and improving delivery timelines.

Mineral Sourcing

Sourcing & Aggregation

  • Active mineral extraction from licenced concessions in operating jurisdictions.
  • Aggregation of extracted commodities into export-ready volumes at controlled sites.
  • Quality assessment and grading prior to handover for logistics and export.
  • Identification and evaluation of new resource opportunities within the group’s target geographies.
Supplier Network

Supplier Network Management

  • Management of relationships with extraction contractors and site operators.
  • Supplier qualification process covering compliance, environmental standards, and output quality.
  • Ongoing performance monitoring and contract management for active supplier relationships.
  • Supplier network expansion into new jurisdictions as the group grows its resource footprint.
Export Operations

Export Execution & Offtake

  • Formal offtake agreements with regional and international commodity buyers.
  • Export logistics coordinated through BV Logistics & Trade Ltd — no third-party freight dependency.
  • Documentation management: export licences, certificates of origin, and regulatory filings.
  • Delivery performance management to maintain buyer relationships and contract compliance.
Compliance & Trade

Regulatory Compliance & Trade Processes

  • Full regulatory compliance management in each extraction and export jurisdiction.
  • Environmental impact monitoring and reporting as required by operating licences.
  • Trade process management: customs, export controls, and cross-border documentation.
  • Legal and compliance support provided at group level, reducing per-subsidiary overhead.
Logistics Integration

Group Logistics Coordination

  • All freight and transport for mineral outputs handled by BV Logistics & Trade Ltd.
  • Warehousing and staging provided by BV Infrastructure & Estates Ltd facilities.
  • End-to-end supply chain visibility from extraction site to buyer delivery point.
  • Reduced logistics cost versus third-party arrangements — margin retention within the group.
Who We Serve

Clients & Counterparties

  • International commodity trading houses and industrial processors.
  • Regional buyers seeking reliable, compliant, and contracted commodity supply.
  • Export markets with demand for the specific mineral types BV Minerals produces.
  • Future: domestic industrial buyers supplied through BV Industrial Solutions’ processing output.
Revenue Logic
Revenue is generated through commodity sales at contracted or spot prices. Formal offtake agreements provide forward revenue visibility and reduce exposure to spot market volatility. Licensing royalties apply where extraction rights are sub-licensed to operating partners. As BV Industrial Solutions activates, processing margin will be added to the commodity revenue chain — significantly improving per-unit value capture. All export logistics costs are internalised through BV Logistics & Trade Ltd, improving the net margin on each commodity transaction.

Logistics & Supply Chain Management
Freight, Distribution & Trade Facilitation
Delivered by BV Logistics & Trade Ltd — operating across active African trade corridors.

BV Holdings PLC delivers logistics and supply chain services through BV Logistics & Trade Ltd. The subsidiary manages freight forwarding, multimodal transport, bonded warehousing, and cross-border trade facilitation across active regional corridors. It serves both internal group subsidiaries and a growing base of external commercial clients.

The dual-client structure — internal group demand plus external commercial contracts — is a deliberate design choice. Internal group utilisation provides a guaranteed revenue floor and keeps the operation active regardless of external market fluctuations. External commercial contracts provide scalable upside and reduce the group’s dependency on commodity-linked income cycles.

Freight Coordination

Freight Management & Coordination

  • End-to-end freight coordination for road, multimodal, and export transport services.
  • Carrier management: selection, contracting, performance monitoring, and compliance.
  • Load planning and cargo optimisation to reduce per-unit transport costs.

  • Customs brokerage: documentation preparation, duty management, and border clearance.
  • Import and export compliance management for internal and commercial shipments.
  • SME trade facilitation programme for small and medium exporters and importers.
Group Support

Internal Group Logistics Services

  • Dedicated logistics services for BV Minerals Ltd commodity export operations.
  • Supply logistics to BV Infrastructure & Estates Ltd development and facility sites.
  • Distribution infrastructure for BV Industrial Solutions processed outputs (on launch).
  • Internal service agreements ensure base utilisation and guaranteed revenue floor.
Who We Serve

Clients & Markets Served

  • Internal BV Holdings subsidiaries — guaranteed base demand for all services.
  • SME exporters and importers requiring reliable cross-border logistics support.
  • Institutional buyers and commodity traders needing freight and warehousing services.
  • Industrial clients requiring inbound supply logistics and outbound distribution management.
Revenue Logic
Revenue is generated through a combination of recurring contract income and transaction-based service fees. Internal group service agreements provide a guaranteed revenue floor — BV Logistics is paid at defined rates for all freight, warehousing, and trade facilitation it performs for BV Minerals, BV Infrastructure, and BV Industrial Solutions. External commercial clients pay freight contracts, warehousing fees, and trade facilitation charges on a per-transaction or retainer basis. The dual-revenue structure means the logistics business generates income independent of commodity price movements — providing a natural financial buffer for the group.

Real Estate & Infrastructure Development
Property Development, Asset Management & Leasing
Delivered by BV Infrastructure & Estates Ltd — developing commercial and industrial assets across strategic locations.

BV Holdings PLC delivers real estate and infrastructure services through BV Infrastructure & Estates Ltd. The subsidiary develops, acquires, and manages commercial and industrial property assets — including logistics hubs, warehousing facilities, industrial processing sites, and commercial premises. It serves both the group’s operational infrastructure needs and an external commercial leasing market.

The strategic purpose of this subsidiary is dual: first, to eliminate the group’s long-term dependence on third-party facilities by owning the physical foundations of its operations; second, to generate independent rental and leasing income from excess capacity let to external tenants. Real estate also provides the group with appreciating fixed assets that strengthen the balance sheet over time.

Commercial Development

Commercial & Industrial Asset Development

  • Development of industrial parks, warehousing complexes, and processing facility sites.
  • Commercial property development for office, operational, and retail use in strategic locations.
  • Design and build capacity for facilities aligned with specific group operational requirements.
  • Development pipeline managed in sequence with group expansion and subsidiary activation plans.
Logistics Hubs

Logistics Hubs & Warehouse Facilities

  • Development and operation of logistics hub facilities at corridor-adjacent locations.
  • Bonded and commercial warehouse construction to service BV Logistics & Trade Ltd.
  • Loading, staging, and distribution infrastructure built to active operational requirements.
  • Facilities available to third-party logistics operators under commercial leasing terms.
Land Acquisition

Land Acquisition & Strategic Site Selection

  • Identification and acquisition of strategic land parcels aligned with group expansion geography.
  • Site assessment: access, zoning, regulatory status, and development feasibility.
  • Long-term land bank management to support group expansion without reactive acquisition costs.
  • Land holdings in jurisdictions targeted under the group’s geographic expansion plan.
Asset Management

Property & Asset Management

  • Active management of the group’s commercial and industrial property portfolio.
  • Tenant management: leasing, rent collection, and contract administration.
  • Facility maintenance, compliance management, and capital improvement planning.
  • Portfolio performance reporting at both subsidiary and group level on a structured cycle.
Group Integration

Internal Group Facility Provision

  • Provides warehousing and freight hub facilities to BV Logistics & Trade Ltd at structured rates.
  • Develops and owns the industrial site where BV Industrial Solutions will operate from launch.
  • Supplies BV Minerals with operational site infrastructure in key extraction-adjacent locations.
  • Eliminates third-party occupancy costs for all subsidiaries — improving group operating margins.
Who We Serve

Clients & Tenant Profile

  • BV Holdings subsidiaries — primary internal tenants for logistics and industrial facilities.
  • Third-party logistics operators requiring bonded or commercial warehouse space.
  • Light industrial businesses requiring operational site and facility provision.
  • Commercial tenants seeking professionally managed office and operational premises.
Revenue Logic
Revenue is generated through three primary mechanisms. Internal facility leasing fees are paid by BV Logistics & Trade Ltd and BV Industrial Solutions Ltd at defined internal rates — these are recurring, contractual, and guaranteed by group service agreements. Third-party rental income is generated from commercial and industrial tenants leasing surplus facility capacity. Asset appreciation compounds over time as strategically located real estate increases in value — providing balance sheet growth and capital gain potential on selective asset disposals. Together these streams create a stable, multi-source income profile that performs across economic cycles.

Industrial Processing
Raw Material Processing & Value-Add Manufacturing
Delivered by BV Industrial Solutions Ltd — in development, equipment procurement underway.

BV Holdings PLC is developing industrial processing capabilities through BV Industrial Solutions Ltd. This subsidiary will operate light manufacturing and processing facilities to convert raw mineral inputs — primarily sourced from BV Minerals Ltd — into higher-value outputs for domestic consumption and export markets.

Industrial processing is the highest-margin service in the group’s planned portfolio. The processing stage captures the gap between raw commodity value and finished product value — a gap that Africa has historically exported to overseas processors. BV Industrial Solutions is designed to retain that value within the group’s integrated structure. Processing will be housed within BV Infrastructure’s industrial development and moved through BV Logistics’ distribution network, completing a fully owned value chain from extraction to market.

Raw Material Processing

Processing Raw Material Inputs

  • Receive raw mineral inputs from BV Minerals Ltd at defined intra-group transfer prices.
  • Process inputs through light industrial equipment into semi-finished or finished outputs.
  • Quality control and certification management to meet domestic and export buyer standards.
  • Processing lines calibrated to the specific commodity types extracted by BV Minerals.
Export Support

Supporting Export Operations

  • Processed outputs prepared to export-ready standard, including packaging and certification.
  • Export logistics handled through BV Logistics & Trade Ltd — no third-party handler required.
  • Export compliance managed in coordination with BV Minerals’ established trade relationships.
  • Access to BV Minerals’ existing buyer network for immediate commercial traction on launch.
Value Chain Impact

Value Creation Across the Supply Chain

  • Processing margin — the difference between raw and processed product price — is captured within the group.
  • Higher per-unit sale value improves the group’s consolidated revenue per tonne of commodity extracted.
  • Third-party tolling services generate processing income from external raw material holders.
  • Domestic supply agreements with manufacturers requiring processed input materials.
Group Integration

Completing the Value Chain

  • Receives raw inputs from BV Minerals — activating an internal extraction-to-processing link.
  • Operates from BV Infrastructure’s industrial park — no third-party facility cost at launch.
  • Outputs distributed by BV Logistics — activating an internal processing-to-market link.
  • Completes the group’s end-to-end chain: extraction → processing → logistics → market.
Development Status

Launch Timeline

  • Company established; legal and governance structure in place.
  • Equipment procurement underway for initial processing line configuration.
  • Facility development in progress within BV Infrastructure’s industrial park.
  • Commissioning and quality certification phase defined prior to commercial operations launch.
Who We Serve

Target Clients Once Operational

  • Domestic manufacturers requiring processed mineral inputs for production.
  • Export buyers seeking semi-finished or finished commodity products over raw materials.
  • Third-party raw material holders requiring processing capacity (tolling clients).
  • International buyers linked through BV Minerals’ established commercial network.
Revenue Logic
Industrial processing is the highest-margin service in the group. Revenue is generated primarily through the sale of processed outputs at a significant premium to the raw commodity price from which they are derived — this processing margin per unit is the core financial case for the subsidiary. Tolling fees provide a second income stream: third-party raw material holders pay BV Industrial Solutions to process their materials through the group’s equipment, generating revenue independent of BV Minerals’ own extraction volume. Domestic supply agreements with manufacturers provide recurring contract income. When combined with the cost savings from BV Infrastructure’s facility provision and BV Logistics’ distribution, the net margin profile of processed goods significantly outperforms raw commodity trade.

Integrated Operations Model

How Our Services Connect

Each service operates within a chain. A commodity extracted by BV Minerals is not simply sold. It moves through the group’s logistics network, stored in group-owned infrastructure, processed into a higher-value product, and delivered to a buyer — at every stage, value is added and margin is retained within the group.

This is the fundamental difference between BV Holdings PLC and a collection of single-sector companies. The integration is the product. The chain is the competitive advantage.

Mineral sourcing feeds export and processing
BV Minerals extracts and aggregates commodity output. That output flows in two directions: directly to export buyers under offtake contracts, and to BV Industrial Solutions for processing before sale. Both flows use BV Logistics for transport — generating revenue in three subsidiaries from a single extraction operation.
Logistics supports movement across every service
BV Logistics & Trade Ltd is the operational connector between all services. It moves commodity exports, supplies development sites for BV Infrastructure, and will distribute processed outputs from BV Industrial Solutions. No service in the group moves product without BV Logistics — creating sustained, multi-client revenue for the logistics subsidiary.
Infrastructure supports storage and stable operations
BV Infrastructure & Estates Ltd owns the facilities that all other services operate from or use. Warehouses, logistics hubs, and processing facilities are group-owned — eliminating third-party occupancy costs, providing guaranteed capacity to group operations, and generating rental income from both internal and external tenants.
Processing multiplies the value of every tonne extracted
Once BV Industrial Solutions is operational, the processing stage transforms raw output into a significantly higher-value product before it reaches the buyer. The processing margin — retained within the group — improves the financial return on every unit of commodity that BV Minerals extracts, without requiring additional extraction capacity.

Operational Advantage

What Makes Our Operations Different

Our advantages are structural. They are built into how the group operates — and they compound as the portfolio grows and integration deepens.

Cross-Sector Coordination
The parent company coordinates across all four subsidiaries in real time. When BV Minerals’ extraction schedule changes, BV Logistics adjusts transport capacity immediately. When BV Infrastructure completes a facility, BV Industrial Solutions can launch without delay. This coordination speed is not available to independent sector operators.
Cost Efficiency Through Integration
When BV Logistics handles freight for BV Minerals rather than an external provider, the logistics cost becomes group revenue instead of group expenditure. When BV Infrastructure provides facilities instead of a third-party landlord, occupancy costs become internal lease income. Integration converts costs into revenue — systematically improving consolidated margins.
Scalable Operating Systems
Each subsidiary is built to scale without restructuring. New extraction licences can be added to BV Minerals. New logistics corridors can be opened by BV Logistics. New development sites can be added by BV Infrastructure. The group can absorb significant capacity expansion within each operating unit without adding new management layers or restructuring the group architecture.
Market Access & Trade Capability
The group has direct market access across the commodity, logistics, real estate, and industrial sectors it serves. We hold extraction licences, operate on trade corridors, own commercial properties, and maintain buyer relationships across multiple jurisdictions. This market access was built through operational presence — it cannot be replicated quickly by a new entrant.

Growth & Expansion

Expanding Service Capacity & Capability

Growth at BV Holdings PLC is planned and sequenced. We consolidate operational depth before expanding footprint. Each expansion phase is designed to strengthen the group’s integrated model rather than simply adding standalone capacity.

01
Expanding Mineral Extraction Capacity
BV Minerals Ltd is increasing extraction capacity at existing licenced sites before acquiring new concessions. Expanding at proven sites reduces execution risk and improves capital efficiency. New licence applications are being pursued in adjacent jurisdictions where regulatory relationships are already established.
BV Minerals LtdActive Expansion
02
Logistics Corridor & Capacity Growth
BV Logistics & Trade Ltd is expanding freight capacity along its two primary active trade corridors and formalising third-party commercial contracts. The cross-border trade facilitation programme — targeting SME exporters and importers — is being developed to diversify the client base beyond internal group demand and position BV Logistics as a regional trade infrastructure provider.
BV Logistics LtdActive Expansion
03
Industrial Processing Launch
Activating BV Industrial Solutions Ltd is the near-term growth priority that will complete the group’s integrated value chain and introduce the highest-margin service in the portfolio. The subsidiary is in active pre-operational development. Equipment procurement is underway; facilities are being developed by BV Infrastructure. Launch will immediately improve group-level margins per unit of commodity extracted.
BV Industrial SolutionsIn Development
04
Infrastructure Development Pipeline
BV Infrastructure & Estates Ltd is progressing an industrial park and commercial property development pipeline aligned with the group’s operational and geographic expansion. Each new facility serves the dual purpose of supporting a group subsidiary and generating third-party rental income — improving both operational capability and asset returns simultaneously.
BV Infrastructure LtdActive Pipeline
05
Geographic Market Entry
The group is preparing market entry criteria for adjacent geographies along existing trade corridors. New market entry is sequenced: first the logistics and trade facilitation capability is established, then mineral and infrastructure operations follow. This sequencing reduces entry risk and replicates the integration model proven in existing markets in new ones.
